Sally Terms of Use

Welcome to Sally, an AI-powered platform provided by Cyber Alliance Consortium LLC (“CyberAlliance”, “we”, “us”, or “our”). These Terms of Use (“Terms”) govern your access to and use of our AI-powered services including the conversational interface (Sally Chat), secure code assistant (Sally Code), and all related websites, APIs, IDE plugins, and mobile applications (collectively, the “Platform”).
1. Acceptance of Terms
Welcome to Sally, an AI-powered platform provided by Cyber Alliance Consortium LLC (“CyberAlliance”, “we”, “us”, or “our”). These Terms of Use (“Terms”) govern your access to and use of our AI-powered services, including the conversational interface (Sally Chat), secure code assistant (Sally Code), and all related websites, APIs, IDE plugins, and mobile applications (collectively, the “Platform”).
By accessing or using Sally—including its components Sally Chat and Sally Code—you agree to be bound by these Terms of Use. If you do not agree with these terms, do not use the platform.
2. Eligibility
Minimum Age
To use the Services, you must be at least 13 years old or meet the minimum age required by the laws of your country to provide valid consent. If you are under 18 years old, you must have permission from a parent or legal guardian to use the Services.
Account Registration
When registering for an account, you agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials and must not share your login details or allow others to access your account. All activity conducted through your account is your responsibility. If you are creating an account or using the Services on behalf of another person or organization, you confirm that you have the legal authority to agree to these Terms on their behalf.
3. About Sally
Sally is a cybersecurity domain-specific AI platform developed by CyberAlliance, Inc. It includes:
- Sally Chat: A conversational interface for cybersecurity-related queries and tasks.
- Sally Code: A secure code assistant that supports security-related programming and vulnerability analysis.
The platform is accessible via web interface, IDE plugins, APIs, and mobile applications.
4. Use of the Platform
Sally is intended solely for professional and educational use within the field of cybersecurity. You agree not to use Sally for any purpose outside of this domain. You may use the Platform solely for lawful purposes. You agree not to misuse the Platform, reverse-engineer it, or use it in any way that could harm CyberAlliance or other users.
You must not use Sally to:
- Analyze or process sensitive health (HIPAA-protected), financial (GLBA-covered), or personally identifiable information (PII) unless such information is necessary for a cybersecurity-specific function and is adequately anonymized or masked.
- Violate any applicable data protection, export control, or privacy laws.
- Infringe, misappropriate, or violate anyone’s rights.
- Modify, copy, lease, sell, or distribute any of our Services.
- Represent that Output was human-generated when it was not.
- Interfere with or disrupt our Services, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations we put on our Services.
Third party Services.
Our services may include third party software, products, codes, or services, (“Third Party Services”). Third Party Services and Third Party Output are subject to their own terms, and we are not responsible for them.
CyberAlliance disclaims liability for any damages resulting from uploading prohibited or sensitive data outside the platform’s intended scope. Users upload such data at their own risk.
5. Content
Your Content:
When using Sally, you may submit input (“Input”) related to cybersecurity queries, code, or security data, and receive AI-generated responses (“Output”). Collectively, Input and Output are referred to as “Content.” You are fully responsible for the Content you provide and must ensure it complies with all applicable laws, regulations, and these Terms. You represent and warrant that you hold all necessary rights, licenses, and permissions to submit your Input to Sally. By uploading files or code, you grant us a worldwide, non-exclusive license to process such content for the purpose of providing the Platform’s functionality. You are responsible for ensuring you have the right to upload such content.
Ownership of Content:
You retain ownership of your Input data. Similarly, you own the Output generated by Sally based on your Input. CyberAlliance assigns to you any rights it may hold in the Output, to the extent permitted by law.
Similarity of Content:
Due to the nature of AI-generated content, similar or identical Output may be provided to other users with comparable Input. Ownership rights assigned to you do not extend to Output generated for other users or any third-party content.
Use of Content:
CyberAlliance may use your Content to operate, maintain, and improve Sally’s cybersecurity services, ensure compliance with applicable laws, enforce these Terms, and safeguard the platform. If you prefer to opt out of your Content being used for model training and improvement, please contact us at info@cyber-alliance.com. Note that opting out may affect the customization and effectiveness of Sally’s responses.
Accuracy and Limitations:
Sally’s AI capabilities rely on complex machine learning models that may produce Output that is incomplete, inaccurate, or outdated. Given Sally’s focus on cybersecurity, Output should be carefully reviewed and validated before acting upon or sharing. Sally’s responses are not a substitute for professional advice, and you should not rely solely on its Output for critical security decisions. You agree not to rely solely on AI outputs for critical decisions. We disclaim liability for actions taken based on AI-generated content.
Important Usage Restrictions:
- You must not use Sally’s Output to make legal, financial, medical, or other significant decisions without appropriate expert consultation.
- You acknowledge that Sally’s Output may occasionally contain errors, offensive content, or references that do not reflect CyberAlliance’s views or endorsements.
6. Intellectual Property
All content, software, models, and features of the Platform, except where indicated are the intellectual property of CyberAlliance or its licensors. You may not reproduce, distribute, or create derivative works without explicit permission.
7. Subscriptions and Payments
If you subscribe to a paid tier, you agree to the pricing, billing, and cancellation terms as described on our Platform. Payments are processed via third-party gateways.
Billing and Payments
If you choose to purchase access to Sally’s premium features or subscription-based services, you agree to provide accurate, current, and complete billing details, including a valid payment method. For recurring subscriptions, your selected payment method will be automatically charged at the beginning of each billing cycle unless you cancel in advance. You are responsible for any applicable taxes related to your purchase, which will be added to your charges as required by law. If a payment is declined or cannot be processed, CyberAlliance reserves the right to suspend or downgrade your access to the Services until payment is successfully completed.
Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting support. Please note that all payments are non-refundable unless required by applicable law. These Terms do not override any rights you may have under local consumer protection laws regarding subscription cancellation.
Price Changes
CyberAlliance may update its pricing for Sally’s Services from time to time. If a price increase applies to your subscription, we will provide at least 30 days’ advance notice. The new pricing will take effect at the start of your next billing period. You may cancel your subscription before the renewal date if you do not wish to continue under the new pricing.
8. Term and Termination
Term:
These Terms remain in effect from the earlier of (i) your first use of Sally or (ii) your acceptance of these Terms, and will continue until terminated by either party.
Termination by You:
You may delete your account and stop using Sally at any time. Account deletion can be done through your account settings or by contacting support if the self-service option is unavailable.
Termination or Suspension by CyberAlliance:
CyberAlliance reserves the right to suspend or terminate your account or access to all or part of Sally if:
- You breach these Terms or any applicable policies;
- You fail to pay any required fees when due;
- Required by applicable law or regulation;
- Your use poses a risk of harm to CyberAlliance, Sally, our users, or any third party.
In the event of suspension or termination, you may contact us to appeal the decision by reaching out to info@cyber-alliance.com.
Discontinuation of Services:
CyberAlliance may choose to discontinue Sally or any part of its services. If we do, we will provide advance notice and issue a refund for any prepaid, unused portion of the service, where applicable.
Effects of Termination:
Termination does not affect any rights or obligations that have accrued prior to the termination date, including outstanding payment obligations. Any provisions of these Terms that by their nature are intended to survive termination—such as confidentiality, limitations of liability, disclaimers, and intellectual property rights—will remain in full effect.
9. Global Use and Compliance
You are responsible for ensuring that your use of the Platform complies with local laws and regulations, including data protection laws applicable in your jurisdiction (e.g., GDPR, CCPA).
10. Disclaimers, Limitation of Liability, and Indemnification
Disclaimer of Warranties
SALLY AND ALL RELATED SERVICES ARE PROVIDED BY CYBERALLIANCE “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, CYBERALLIANCE AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS MAKE NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THIS INCLUDES, BUT IS NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICES.
WE DO NOT GUARANTEE THAT SALLY WILL OPERATE WITHOUT INTERRUPTIONS OR ERRORS, OR THAT ITS CONTENT WILL BE SECURE, CURRENT, OR FREE FROM LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS. SALLY’S RESPONSES ARE AI-GENERATED AND PROBABILISTIC IN NATURE; THEREFORE, YOU AGREE NOT TO RELY SOLELY ON OUTPUT AS FACTUAL, COMPLETE, OR A SUBSTITUTE FOR EXPERT CYBERSECURITY ADVICE.
YOUR USE OF ANY INPUT OR OUTPUT THROUGH SALLY IS AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR EVALUATING ITS ACCURACY AND APPROPRIATENESS FOR YOUR INTENDED USE.
Limitation of Liability
TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, CYBERALLIANCE AND ITS AFFILIATES, LICENSORS, AND PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES RELATED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF SALLY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID, IF ANY, FOR ACCESS TO SALLY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions may not allow certain limitations of liability or exclusions of warranties, so some of the above may not apply to you. In such cases, the Terms will apply to the maximum extent permitted by local law.
Indemnification
If you are a business or organization, you agree to indemnify, defend, and hold harmless CyberAlliance, its affiliates, officers, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use or misuse of Sally or its content,
- Your violation of these Terms, or
- Any claim that your Input or use of Output violates applicable law or the rights of a third party.
11. Dispute Resolution
YOU AND CYBERALLIANCE AGREE TO THE FOLLOWING MANDATORY ARBITRATION AND CLASS ACTION WAIVER TERMS RELATED TO YOUR USE OF SALLY:
Informal Resolution First
Before pursuing formal legal action, both you and CyberAlliance agree to make a good faith effort to resolve any dispute, claim, or controversy arising out of or relating to these Terms or Sally’s Services (“Dispute”) informally.
- You agree to initiate this process by sending a written notice describing your Dispute to: info@cyber-alliance.com.
- We will contact you via the email associated with your account.
- If a resolution is not reached within 60 days, either party may then initiate formal arbitration.
- During this time, any applicable statute of limitations is tolled.
Binding Arbitration
Except for the exceptions outlined below, all Disputes will be resolved by final and binding arbitration, rather than in court.
- Arbitration will be administered by National Arbitration and Mediation (NAM) and conducted in accordance with its Comprehensive Dispute Resolution Rules.
- Arbitration will be conducted remotely by video conference, or, if necessary, in person in Wake County, North Carolina, unless otherwise agreed.
- The arbitrator will be a licensed attorney or retired judge and will have the exclusive authority to resolve any Dispute, including any questions of arbitrability.
- The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
You may opt out of arbitration within 30 days of first agreeing to these Terms or any update by emailing info@cyber-alliance.com with the subject line: “Opt-Out of Arbitration.”
Exceptions
The following Disputes are not subject to mandatory arbitration:
- Individual claims brought in small claims court;
- Claims for injunctive or equitable relief to prevent unauthorized access or misuse of Sally or CyberAlliance intellectual property.
No Class Actions or Jury Trials
You agree to resolve Disputes with CyberAlliance only on an individual basis. That means:
- No class, collective, consolidated, or representative actions are permitted.
- No class arbitrations are allowed.
- No jury trials are permitted.
If a court finds this waiver unenforceable for any reason, then the entirety of this Dispute Resolution section will be void.

13. General Terms
Assignment.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempt to do so will be void. CyberAlliance may assign its rights and obligations under these Terms to an affiliate, subsidiary, or as part of a corporate transaction such as a merger, acquisition, or sale of assets.
Updates to Terms or Services.
We continuously improve Sally’s capabilities and may update these Terms or the Services accordingly. Updates may be necessary for reasons including:
- Compliance with changes in laws or regulations;
- Enhancing security or safety;
- Addressing circumstances beyond our reasonable control;
- Adapting to new technologies;
- Improving Sally’s functionality or performance.
If we make changes to these Terms that materially affect your rights or obligations, we’ll give you at least 30 days’ notice via email or an in-app notice. All other changes will take effect upon posting. If you don’t agree to the updated Terms, you must stop using Sally.
No Waiver.
A delay or failure to enforce any part of these Terms does not waive our right to enforce it later. If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full effect.
Trade Compliance.
You agree to comply with all applicable export control, sanctions, and trade laws. Sally may not be used:
- In or for the benefit of any country or region subject to a U.S. embargo;
- By any individual or entity listed on applicable restricted parties lists;
- For any use prohibited under applicable trade laws, such as the development or use of weapons or surveillance technologies.
You must also ensure that any Input you provide does not require a license or approval under export laws.
Entire Agreement.
These Terms, along with any applicable service-specific terms or policies, form the entire agreement between you and CyberAlliance regarding your use of Sally. They replace any prior or contemporaneous understandings.
Governing Law.
These Terms are governed by the laws of the State of North Carolina, excluding its conflict of law principles. Except as otherwise provided in the Dispute Resolution section, any legal action must be brought exclusively in the state or federal courts located in Wake County, North Carolina.
